Terms And Conditions
Introduction:
Welcome to Upgrade The Meaning ("UTM"). By Joining and participating in our platform, you agree to abide by the following Terms and Conditions. These terms define user obligations, ownership-rights, revenue sharing, confidentiality, and termination policies.
1. User Obligations by Joining UTM users agree to:
Actively Participate in creating music through songwriting, production, engineering, or other creative contributions.
Engage in challenges, provide constructive feedback and contribute to the collaborative spirit of the platform.
Commit to attending scheduled meetings to ensure continued growth and collaboration within the community.
Adhere to professional conduct and respect the creative contributions of fellow members.
2. Ownership Rights and Revenue Sharing:
Currently ownership of songs are strictly limited to those who were directly involved in the creation process.
Each collaborator involved in the creation of a song will retain equal ownership.
When a song generates sync revenue, all owners will receive their respective shares.
UTM may take a small administrative cut from upfront fee for managing sync placements and handling business-related aspects.
We currently offer an 80/20 split for all creatives joining our community. Meaning we take 20% of the publishing and the artist recieves 80% of the publishing as well as the writer share of the royalties.
3. Confidentiality Clause
All Users agree to maintain confidentiality regarding any proprietary workflows, processes or business strategies shared within UTM. This includes, but is not limited to:
Website Functionality and exclusive platform features.
Internal discussions, strategies, and sync placemnet opportunites.
Any non-public information about UTM's business operations.
Users shall not disclose, reproduce, or distribute confidential information without express written permission from UTM. This confidentiality obligation shall remain in effect for as long as the user is a member and for two (2) years following membership termination.
4. Non-Compete and Exclusivity
UTM operates on a non-exclusive basis, meaning users are free to work with other talent agencies, sync agencies, or music licensing platforms.
Users May not create a company that directly mimics or competes with UTM's platform, business model or proprietary processes in a legal capacity.
5. Termination of Membership
Users or UTM may terminate membership at any time for any reason.
Even after membership termination, Upgrade The Meaning retains the non-exclusive right to pitch any music created on the platform, while members also retain the right to pitch their own music independently.
6. Ammendments
UTM reserves the right to modify these Terms and Conditions as needed. Any changes will be communicated to users in advance.
7. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Arizona.
By joining UTM, Users acknowledge and agree to the above Terms and Conditions.
